TERMS OF SERVICE
1. Description of Services
SuperAffiliate-Toolbox ("SAT") is a web-based paid subscription
membership ("Membership") where authorized users ("Members") can
download articles (“Articles”) and other services that SAT
provides on a periodic basis. Members in good standing have access
to Articles and products and services (“Services”) that SAT deems
to be a necessary part of the membership. Access to such Services
is subject to the terms and conditions described below.
2. Acceptance of Terms
By joining the Membership, the forum connected thereto and
downloading the materials provided by SAT, you are representing
that you have read and agreed to the terms and conditions set
forth herein. These Terms of Service ("TOS") may be updated at any
time without prior notice. Further, by using this Membership, you
agree to be bound by any such revisions and should visit this page
from time to time to determine the then-current TOS to which you
are bound. Failure to comply with the TOS could result in
cancellation of your Membership.
3. Membership Registration
You will be required to register and verify your account that you
create at SAT. All Members are required to provide accurate and
current information about themselves at all times. In the event
that your information changes after submission, you are required
to update your account. Failure to provide accurate information
may result in termination of your Membership. Persons under the
age of 13 years are not permitted to register for an account or
use the Services.
4. Indemnity
You agree to indemnify, defend and hold harmless SAT, its
subsidiaries, officers, directors, partners, employees, agents,
licensors, suppliers, affiliates, and any third party information
providers to the Service from and against any claims or demand,
losses, expenses, damages and costs, including reasonable
attorneys' fees, resulting from any violation of the TOS
(including negligent or wrongful conduct) by you or any other
person accessing the Services or arising from your use of the
content or Services contained within the Membership.
5. Modifications to Service
SAT reserves the sole right to change, modify, discontinue
(whether temporarily or permanently) the Membership or any
Services, whether in part or in whole, at any time. You agree that
SAT shall in no event be liable to you or any third party for any
change, modification, suspension or discontinuance of the
Membership.
6. Confidentiality of Information and Services
Certain information and Services that will be provided within the
Membership may be confidential in nature, which if shared with
non-members or is widely exploited will tend to devalue the
Services and Membership. You agree not to share information gained
from the Membership with people who are not Members. Failure to
comply will be grounds for immediate cancellation of your
Membership.
You acknowledge and agree that any such proprietary and
confidential information is protected by applicable laws governing
intellectual property or proprietary rights. Any software or
operational specifications with respect to the administration of
the Membership are subject to the express or implied licenses
granted by the licensors. Except as expressly authorized by SAT,
you agree not to modify, rent, lease, loan, sell, distribute, or
create derivative works based on the content, the Services or the
Membership, in whole or in part.
7. Use of Articles
Members in good standing shall have the right to use the Articles
and Services provided by SAT as follows:
(a) Change the Articles completely or in part (by at least 30%).
(b) Add their name as author to any and all Articles, provided
they have been substantially altered.
(c) Compile the Articles into an ebook or report and claim
authorship, provided the Articles have been substantially altered.
Members do NOT have the right to:
(a) Submit the Articles to article directories that do not permit
or accept PLR articles unless they use the research as a basis to
write a totally original, unique article. This is for each
Member's protection. However, Members are permitted to use the
Articles and Services provided by SAT in the manner described
within the Membership area.
(b) Share the Articles with others.
(c) Sell Articles to others, whether at auction, freelance bidding
sites, content provider sites, on eBay or personally. The
exception shall be if the Member sells the entire site with all
its content, in which case, the Member shall not be permitted to
re-use any of the Articles.
8. Termination
You agree that SAT may, in its sole discretion, terminate your
account and Membership, for any reason, including, and without
limitation, if SAT believes that you have violated or any of the
TOS. SAT may also, at its sole discretion and at any time,
discontinue providing any Service or discontinue the Membership,
with or without notice. All subscription payments will be
discontinued if the Membership were terminated.
9. External Sites and Unrelated Sites
The Membership, SAT or its partners or other third parties may
provide links to other websites or resources, either as a courtesy
or as part of the Services provided. You acknowledge and agree
that SAT has no control over such sites and is not responsible for
the availability or reliability of such sites or resources.
SAT shall not be deemed to endorse and is not responsible or
liable, directly or indirectly, for any content, products, or
other materials on or available from such sites or resources.
You further acknowledge and agree that SAT shall not be
responsible or liable, directly or indirectly, for any claims,
damage or loss caused or alleged to be caused by or in connection
with the use of or reliance on any such content, products, goods
or services provided on or through any such site or resource.
10. Disclaimer Of Warranties
You understand and expressly agree that:
(a) THE MEMBERSHIP IS PROVIDED ON AN "AS IS" BASIS. THE USE OF
WHICH IS AT YOUR SOLE RISK. SAT EXPRESSLY DISCLAIMS ALL WARRANTIES
OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT
LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR
A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
(b) SAT DOES NOT WARRANT THAT THE MEMBERSHIP WILL MEET ANY OR ALL
OF YOUR REQUIREMENTS, OR THAT ANY PRODUCTS, SERVICES, INFORMATION,
OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE
MEMBERSHIP WILL MEET YOUR EXPECTATIONS.
(c) THERE IS NO GUARANTEE OR WARRANTY THAT THE MEMBERSHIP WILL BE
UNINTERRUPTED, ERROR-FREE, TIMELY, SECURE, OR THAT DEFECTS IN THE
SERVICE WILL BE CORRECTED.
(d) SAT DOES NOT WARRANT THAT ANY RESULTS THAT MAY BE OBTAINED
FROM USING THE MEMBERSHIP OR SERVICES WILL BE ACCURATE OR
RELIABLE.
(e) IT IS SOLELY YOUR RESPONSIBILITY TO EVALUATE THE ACCURACY,
COMPLETENESS AND USEFULNESS OF ALL OPINIONS, ADVICE, SERVICES,
MERCHANDISE AND OTHER INFORMATION PROVIDED THROUGH THE MEMBERSHIP.
(c) ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE
MEMBERSHIP OR ELSEWHERE IN CONNECTION WITH THE SERVICES IS DONE AT
YOUR OWN DISCRETION AND RISK AND YOU WILL BE SOLELY RESPONSIBLE
FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA OR OTHER
LIABILITY THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL.
11. Limitation Of Liability
In no event will SAT be liable for:
(A) ANY INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, DIRECT OR
INDIRECT DAMAGES INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS
OF PROFITS, LOSS OF GOODWILL, BUSINESS INTERRUPTION, LOSS OF
PROGRAMS OR INFORMATION, OR OTHER TANGIBLE OR INTANGIBLE LOSSES
ARISING OUT OF THE USE OF OR INABILITY TO USE THE SERVICES, OR ANY
INFORMATION, OR TRANSACTIONS PROVIDED IN CONNECTION WITH THE
MEMBERSHIP, OR DOWNLOADED FROM THE SERVICES, OR ANY DELAY OF SUCH
INFORMATION OR SERVICE, EVEN IF SAT OR ITS AUTHORIZED
REPRESENTATIVES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH
DAMAGES;
(B) ANY CLAIM ATTRIBUTABLE TO ERRORS, OMISSIONS, OR OTHER
INACCURACIES IN THE SERVICES AND/OR MATERIALS OR INFORMATION
DOWNLOADED THROUGH THE MEMBERSHIP;
(C) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES
RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES PURCHASED
OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO
THROUGH OR FROM THE MEMBERSHIP;
(D) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE MEMBERSHIP; OR
(E) ANY OTHER MATTER RELATING TO THE SERVICES OR MEMBERSHIP.
12. Entire Agreement
The TOS constitutes the entire agreement you and SAT and governs
use your of the Membership and Services. This Agreement shall all
be governed and construed in accordance with the laws of The
United States of America applicable to agreements made and to be
performed in The United States of America. You agree that any
legal action or proceeding between SAT and you for any purpose
concerning this Agreement or the parties' obligations hereunder
shall be brought exclusively in a federal or state court of
competent jurisdiction sitting in St. Johns County, Florida,
United States of America. Any cause of action or claim you may
have with respect to the Service must be commenced within one (1)
year after the claim or cause of action arises or such claim or
cause of action is forever barred. SAT's failure to insist upon or
enforce strict performance of any provision of this Agreement
shall not be construed as a waiver of any provision or right.
Any provision contained in the TOS which is deemed unenforceable
by a court of competent jurisdiction shall not preclude the
enforceability or applicability of the remaining provisions.
Neither the course of conduct between the parties nor trade
practice shall act to modify any provision of this Agreement. SAT
may assign its rights and duties under this Agreement to any party
at any time without notice to you.
Further, SAT may at any time revise these Terms of Service by
updating this posting. By using this Membership, you agree to be
bound by any such revisions and should therefore periodically
visit this page to determine the then-current Terms of Service to
which you are bound. |
